1. Introduction and Company Information
These Terms of Service ("Terms") govern your relationship with ai cofounder, a service operated by BUILDPAD S.R.L., a company incorporated under the laws of Romania ("ai cofounder", "aicofounder.com", "we," "us," or "our").
2. Acceptance of Terms
By accessing or using ai cofounder, you agree to be bound by these Terms of Service. If you disagree with any part of the terms, you may not access the service.
3. Description of Service
ai cofounder is an AI-powered platform that helps entrepreneurs and small teams research, plan, and build products. Our service includes AI-assisted strategic planning, research, a visual canvas for organizing project work, document editing, website building, content planning, and data export.
4. User Accounts
When you create an account with us, you must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our service.
5. User Conduct
You agree not to use ai cofounder to:
- Violate any applicable laws or regulations
- Infringe upon the rights of others
- Transmit any material that is unlawful, offensive, or malicious
- Impersonate any person or entity
- Interfere with or disrupt the service or servers
6. Intellectual Property
The service and its original content, features, and functionality are and will remain the exclusive property of BUILDPAD S.R.L. and its licensors. The service is protected by copyright, trademark, and other laws of Romania, the European Union, and foreign countries.
7. Affiliate Program
ai cofounder offers an affiliate program that allows participants to earn commissions by referring new customers to our platform. By participating in our affiliate program, you agree to the following terms in addition to our general Terms of Service.
7.1 Commission Structure
Affiliates earn 20% commission for the first 6 months on all subscription payments made by customers they refer to ai cofounder. There is no limit to the number of customers you can refer or the amount of commission you can earn.
7.2 Referral Attribution and Tracking
When a potential customer clicks on your affiliate link, we set a tracking cookie that remains active for 30 days. If the user signs up for ai cofounder within this 30-day period, they will be attributed to your affiliate account, and you will earn commissions on their payments. If they sign up after the 30-day cookie period expires, no commission will be attributed. This cookie-based tracking system is the sole method of determining referral relationships, and we cannot manually attribute customers to affiliates outside of this system.
7.3 Qualifying Transactions
Commissions are earned on actual payments made by referred customers. A referred customer is someone who signs up using your unique affiliate link. The referral relationship is established at the time of the customer's initial sign-up and remains in effect for the duration of the customer's relationship with ai cofounder.
7.4 Brand Usage and Advertising Restrictions
Affiliates may use ai cofounder's name, logo, and other branding elements when promoting our services. While no specific guidelines are provided, we expect affiliates to represent our brand in a professional and accurate manner.
Important: Advertising on ai cofounder's branded keywords (including but not limited to "ai cofounder", "aicofounder", "ai co-founder", and variations thereof) through any paid advertising channels such as Google Ads, Bing Ads, or similar platforms is strictly prohibited. Violation of this policy will result in immediate suspension from the affiliate program and forfeiture of any pending or future commissions for referrals generated through such prohibited advertising methods.
7.5 Program Termination
ai cofounder reserves the right to terminate any affiliate's participation in the program at our sole discretion, without prior notice. In the event of termination, you will continue to receive commissions for existing customers you have previously referred, but you will no longer be able to refer new customers through the program. Reasons for termination may include, but are not limited to, misrepresentation of our services, fraudulent activity, or any conduct we deem inappropriate or harmful to our brand.
7.6 Program Modifications
We reserve the right to modify any aspect of the affiliate program, including commission rates, payment methods, and these terms, at any time. Material changes to the program will be communicated via email to active affiliates. Continued participation in the program after such changes constitutes acceptance of the modified terms.
8. Refunds
Except when required by law, paid subscription fees are non-refundable.
9. Credits
ai cofounder uses a credit-based system to manage access to AI features. Credits are consumed each time you interact with the AI, with the cost varying based on the complexity of the interaction. Simple messages consume a fraction of a credit, while more complex operations such as research consume more.
9.1 Credit Allocation
Trial users receive a limited daily credit allocation. Subscribers on the Pro or Max plan receive a monthly credit allocation as part of their subscription. The specific number of credits included in each plan is displayed on our pricing page and may be updated from time to time.
9.2 Credit Rollover
Unused credits roll over for one billing cycle. At the start of each billing period, any remaining credits are capped at your plan's monthly allocation before new credits are added. Credits beyond that cap are forfeited.
9.3 Purchasing Additional Credits
Pro and Max subscribers may purchase additional credits at any time. Purchased credits are added to your balance and are subject to the same rollover rules as subscription credits.
9.4 Subscription Cancellation
When a subscription ends, any remaining credits, including purchased credits, are forfeited and your balance is reset to zero. Credits are non-transferable and have no monetary value outside of the ai cofounder platform.
9.5 Changes to Credits
We reserve the right to modify credit pricing, allocations, and consumption rates at any time. Material changes will be communicated to users in advance.
10. Termination
We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the service will immediately cease.
11. Limitation of Liability
In no event shall BUILDPAD S.R.L., nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the service.
12. AI Limitations and User Responsibility
ai cofounder utilizes artificial intelligence (AI) technology to provide guidance and assistance. While we strive for accuracy, users should be aware that:
- AI can make mistakes or provide incomplete information
- The AI's knowledge may not always be up-to-date
- AI-generated content should not be considered as professional advice
Users are responsible for verifying any important information provided by our AI system. We strongly recommend double-checking critical details, especially those related to legal, financial, or business decisions. ai cofounder is not liable for any consequences resulting from reliance on AI-generated content without proper verification.
13. Service Infrastructure
ai cofounder's services are primarily hosted on servers located within the European Union. However, certain aspects of our service, including AI processing and email communications, may involve data transfers outside the EU. By using our service, you acknowledge and consent to these necessary data transfers as described in our Privacy Policy.
14. Changes
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
15. Governing Law
These Terms shall be governed and construed in accordance with the laws of Romania, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Romania.
16. Privacy and Data Protection
Your use of ai cofounder is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy for information about how we collect, use, and share your data.
By using our service, you acknowledge and agree that:
- Your primary data will be stored on servers located in the European Union
- Certain AI processing may occur outside the European Union
These data transfers are necessary for us to provide our services and communicate with you effectively. All data transfers outside the EU are protected by appropriate safeguards, including Standard Contractual Clauses where applicable.
